CodeVerd enables eco-friendly digital development through tools like carbon audits, performance optimization, low-emission recommendations, and sustainability ratings that support a greener internet and a net-zero digital future.

These Terms and Conditions of Use ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and CodeVerd ("CodeVerd," "Company," "Platform," "we," "us," or "our").

By accessing or using the CodeVerd website (the "Site"), platform, services, features, content, reports, analytics tools, applications, or any other offerings (collectively, the "Services"), you acknowledge that you have read, understood, and agree to be bound by these Terms. If you are using the Services on behalf of an organization, business, or entity, you represent and warrant that you are authorized to bind that organization to these Terms.

CodeVerd is provided on an “as-is” and “as-available” basis. We make no warranties, express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, and non-infringement of intellectual property or any other rights.

Furthermore, we do not guarantee or make any representations regarding the accuracy, outcomes, or reliability of any data, calculations, results, or outputs generated from the use of the Platform or Services.

By accessing or using the CodeVerd platform, you agree to be bound by these Terms and our Privacy Policy. If you do not agree with any portion of these Terms, you must not use the platform or any of its Services.

Third-Party Links & Services

The CodeVerd platform may contain links to third-party websites, applications, tools, or services that are not owned or operated by CodeVerd. We have no control over and assume no responsibility for the content, privacy policies, or practices of any third-party websites, products, or services.

Your interaction with any third-party platform linked from CodeVerd is solely at your own risk, and we encourage you to review the terms and privacy policies of such third parties before engaging with their services.

Personal Information

You may be asked to enter your personal information on the platform or through our support team. This information is collected as required for using the platform and will be governed by our Privacy Policy.

CodeVerd retains user data for as long as necessary to provide the Services or as required by law. Users may request deletion of their data by contacting us at codeverd@gmail.com, and CodeVerd will process such requests in accordance with applicable laws.

Deletion requests will be treated as soft deletions by anonymizing personally identifiable information.

Your personal information such as phone number, email address, name, geo-location, etc. (but not limited to these) may be used to communicate with you. By submitting your information, you agree that we may reach out to you via WhatsApp, email, SMS, and other channels.

Services Overview

CodeVerd facilitates the following sustainability-focused digital services/products (including but not limited to):

  • Personalized digital reports and analytics dashboards for each project.
  • Custom integrations like badges, impact widgets, and sustainability certificates.
  • Support for developers, marketers, and organizations to build greener digital platforms.

Funds collected through CodeVerd—whether online or offline—are used to support digital sustainability research, platform development, ecosystem engagement, and technical services in alignment with the user's intent.

We reserve the right to add, remove, or modify any service offerings without prior notice.

Contributions may include a service fee, which covers administrative, platform, technology, and operational costs. This fee may vary depending on the type of service or product.

We reserve the sole right, at our discretion and without prior notice, to introduce, modify, suspend, or discontinue any features, services, or offerings made available through the platform.

Contributions and Payments

All contributions, subscriptions, payments, or transactions made through or in connection with CodeVerd are final and non-refundable. This includes but is not limited to:

  • Payments for sustainability audits, digital optimization reports, or performance reviews.
  • Subscriptions for premium features, audit APIs, agency access, or bulk domain tools.
  • Prepaid orders for digital sustainability enhancements, consultations, or customized reports.
  • Partner or agency payments for collaborative campaigns or platform integrations.

In some cases, funds may be received via third-party service providers, digital agencies, or direct bank transfers. Once funds are credited to CodeVerd, this policy applies in full.

CodeVerd may apply a service fee to cover administrative, platform, infrastructure, R&D, and operational costs. The fee structure will be disclosed to clients or partners in advance and may vary based on the service type or scope of work.

You acknowledge that sustainability audits or carbon scores do not constitute a certified guarantee of total digital neutrality but represent a data-backed contribution toward reduced digital emissions and awareness.

Partnerships and Third Parties

CodeVerd collaborates with digital agencies, hosting providers, sustainability consultants, and other third-party partners to support the delivery of cleaner, greener digital experiences. You acknowledge that:

  • CodeVerd is not responsible for any disputes arising between you and your clients, developers, agencies, vendors, or service providers.
  • Subscription cancellations, service delays, or changes to digital projects do not entitle you to a refund for payments already made toward audits, optimization tools, reports, or sustainability-focused services.
  • If a third party (such as a digital agency or implementation partner) facilitates payment on your behalf, all such transactions shall be governed by these Terms upon receipt by CodeVerd.

CodeVerd reserves the right, at its sole discretion, to reallocate resources, audit credits, or sustainability project allocations to similar impact-aligned efforts in the event of service upgrades, restructuring, or operational adjustments.

Green Project Execution and Fund Allocation

While we aim to ensure maximum transparency and measurable environmental impact, the execution of green initiatives such as digital carbon offsetting, eco-certifications, or verified sustainability partnerships may be subject to delays due to technical, logistical, or regulatory factors.

CodeVerd reserves the right to reallocate funds, sustainability credits, or project resources to similar and impact-aligned digital sustainability efforts if unforeseen challenges arise, ensuring that the original intent behind your contribution is honored.

CodeVerd disclaims liability for any delays, reporting gaps, or outcomes related to third-party partners or project implementers, but will endeavor to communicate relevant updates and impact status to users when reasonably possible.

Non-Platform Contributions

In some collaborations, CodeVerd may receive payments or transfers outside our official platform (e.g., via UPI, direct bank transfers, or through partner platforms). All such contributions are equally governed by these Terms.

CodeVerd's obligations begin only upon confirmed receipt of such funds. We are not responsible for delays, errors, or disputes arising from third-party intermediaries or platforms through which the payment was initiated.

User Obligations and Conduct

You agree to use the Services in compliance with all applicable local, state, national, and international laws.

You agree not to:

  • Interfere with or disrupt the Services, infrastructure, or servers.
  • Impersonate any person, company, or entity.
  • Provide false, misleading, or fraudulent information.
  • Upload, transmit, or distribute any malicious code, scripts, malware, or harmful content.

All Users must comply with the following rules regarding acceptable use of the Services:

  • You may not access, tamper with, or use non-public areas of the Platform or systems.
  • You may not probe, scan, or test the vulnerability of any system or network or breach or circumvent any security or authentication protocols.
  • You may not access or search the Services through any method other than the interfaces provided by CodeVerd.
  • You may not use the Services to conduct, promote, or support unlawful, unethical, or fraudulent activities.
  • You may not use any reports, data, audit outputs, or metrics from the platform for unauthorized commercial purposes or resale.
  • You may not use, copy, distribute, modify, or attempt to replicate any feature, codebase, UX, data structure, or design element of CodeVerd for financial gain.
  • You may not reverse-engineer, extract source code from, or commercially exploit any part of the CodeVerd platform or tools without prior written consent.

The accuracy of sustainability metrics (such as CO2e estimates) or performance audit data depends entirely on the information and inputs provided by the user. CodeVerd provides algorithmic or model-based estimates—not certified scientific measurements. We do not take responsibility for any inaccuracies in calculations or outputs resulting from incorrect, incomplete, or manipulated data submissions.

Users are responsible for:

  • Keeping their account information (including usernames, passwords, and credentials) secure.
  • Ensuring that all submitted data is truthful and accurate.
  • All actions taken under their account, including consequences of misuse.

CodeVerd may use third-party applications and integrations—including hosting providers, analytics tools, cloud services, communication platforms (e.g., WhatsApp, email, SMS), and others—to deliver and support its services. All users agree that the Terms in this agreement also apply to those third-party providers. Usage of those third-party services is further subject to their respective terms and privacy policies.

CodeVerd may offer features that allow users to offset their digital carbon footprint or contribute to green digital infrastructure. CodeVerd is not liable for any dispute, delay, or misrepresentation arising from third-party tools, processors, or project partners.

A monthly subscription fee may be applicable for access to specific tools, APIs, dashboards, sustainability ratings, reports, or optimization features. All payments made to CodeVerd are non-refundable, including those related to unused services, paused subscriptions, or terminated access.

Users can request to export their usage or analytics data by contacting codeverd@gmail.com.

You are solely responsible for:

  • Protecting your access and data.
  • Monitoring your account usage.
  • Any actions taken under your login credentials.

You are responsible for maintaining the confidentiality of your usage, credentials, any other activity you perform and are liable for all activities you have performed.

Errors, Inaccuracies, and Omissions

Occasionally, there may be information on our platform or within the Services that contains typographical errors, inaccuracies, or omissions. These may relate to—but are not limited to—carbon audit calculations, website performance metrics, product or feature descriptions, pricing, subscription tiers, optimization reports, sustainability benchmarks, promotional content, platform capabilities, API data, or availability of services.

CodeVerd reserves the right to correct any such errors, inaccuracies, or omissions and to update or revise content, cancel Services, or adjust pricing if any information within the Service or on any related platform is found to be inaccurate—at any time and without prior notice, including after you have submitted a request or payment.

We undertake no obligation to update, amend, or clarify information in the Services or on any related website or platform, except as required by law. No specific update or refresh date should be interpreted as an indication that all details have been modified or verified as current.

We reserve the sole right to correct, amend, suspend, or refuse any Services that may have been affected by such inaccuracies or data issues—at our discretion and without liability.

Intellectual Property

All content, trademarks, service marks, trade names, logos, software, source code, designs, visuals, user interface elements, analytics data models, and other intellectual property on the CodeVerd platform and Services (including but not limited to the website, tools, reports, and digital products) are the exclusive property of CodeVerd or its licensors and are protected under applicable copyright, trademark, and intellectual property laws.

You may not copy, reproduce, distribute, republish, scrape, mirror, modify, reverse-engineer, or create derivative works based on any part of the CodeVerd Services or content without explicit written consent from CodeVerd.

Use of the CodeVerd name, logo, platform features, sustainability scoring logic, or visual assets in any way that misrepresents affiliation or violates these Terms is strictly prohibited and may lead to legal action.

Disclaimer of Warranties

The CodeVerd Services, including all tools, platforms, reports, and digital assets, are provided on an “as is” and “as available” basis, without any warranties—express or implied—including but not limited to warranties of merchantability, fitness for a particular purpose, accuracy, or non-infringement.

We do not guarantee, represent, or warrant that your use of our platform, tools, or services will be uninterrupted, timely, secure, virus-free, error-free, or that any defects will be corrected.

We do not warrant that the results obtained from the use of the platform (such as carbon scores, performance grades, or optimization insights) will be accurate, complete, or reliable. These outputs are intended as guidance and are based on available data and best-effort algorithms—not scientific certification.

You expressly acknowledge and agree that your use of—or inability to use—CodeVerd's platform, services, or any deliverables is at your sole risk.

Except where otherwise explicitly stated, all content, tools, recommendations, and services made available to you through CodeVerd are provided without warranties, guarantees, or conditions of any kind, either express or implied—including, without limitation, implied warranties or conditions of merchantability, fitness for a particular purpose, durability, title, and non-infringement.

Limitation of Liability

To the maximum extent permitted by law, CodeVerd and its affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of data, profits, revenue, savings, goodwill, or use, arising out of or related to your use—or inability to use—our Services, platform, tools, or reports, even if we have been advised of the possibility of such damages.

This includes, without limitation, damages arising from:

  • Any bugs, errors, miscalculations, or downtime.
  • Any decisions made based on carbon audit reports, optimization insights, or digital sustainability scores.
  • Any reliance on recommendations, estimates, or analysis derived from the platform.

To the fullest extent permitted by law, CodeVerd's total aggregate liability for any claim arising under these Terms shall not exceed INR 100, regardless of the form of action, whether in contract, tort, strict liability, or otherwise.

In no case shall CodeVerd, its directors, officers, employees, affiliates, agents, contractors, partners, service providers, or licensors be held liable for any injury, loss, claim, or damage of any kind—including but not limited to technical errors, delayed services, inaccurate data, third-party services, or disputes—arising out of or in connection with your use of any part of the CodeVerd platform, product, or service.

Indemnification

You agree to indemnify, defend, and hold harmless CodeVerd, its founders, affiliates, parent entities, officers, directors, employees, agents, contractors, partners, licensors, service providers, and suppliers from and against any claims, liabilities, damages, losses, demands, or expenses (including reasonable legal and attorney's fees) arising out of or related to:

  • Your use or misuse of the CodeVerd platform, tools, products, or services;
  • Your violation of these Terms of Service, applicable laws, or the rights of any third party;
  • Any content, data, or material submitted by you that infringes or misrepresents any intellectual property or other proprietary rights;
  • Your failure to comply with platform requirements, data input guidelines, or third-party tool limitations;
  • Any damages or disputes that arise from projects, clients, agencies, or vendors connected to your use of CodeVerd.

CodeVerd shall not be held liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of revenue, profits, goodwill, data, or other intangible losses, whether foreseeable or not, and regardless of the basis of the claim.

This indemnity will survive the termination of your use of the platform and remain in effect for any disputes, losses, or issues arising from or related to your engagement with CodeVerd.

Severability

If any provision of these Terms of Service is found to be unlawful, void, or unenforceable under applicable law, that provision shall be enforced to the maximum extent permissible, and the remaining provisions shall continue in full force and effect.

The invalidity of any one part shall not affect the validity or enforceability of the rest of these Terms, and such determination shall not impair the legal effect of any other section.

Copyright, Notice, and License

All information, data, content, graphics, code, scripts, performance reports, design elements, UI/UX, text, sounds, images, buttons, trademarks, service marks, trade names, and logos (collectively, "Materials") available on this platform are protected under copyright, trademark, database rights, and other intellectual property laws applicable in India and international jurisdictions.

CodeVerd or its licensors retain full ownership, title, and interest in and to all such Materials. You may not modify, copy, distribute, transmit, display, perform, rebroadcast, reproduce, publish, license, create derivative works from, transfer, or sell any part of the platform's data, services, algorithms, code, or associated ideas without express written permission from CodeVerd.

Violations of these provisions may result in legal action, financial penalties, or prosecution under applicable law.

All content, including sustainability metrics, carbon audit frameworks, optimization algorithms, dashboards, and SEO scoring models, are proprietary to CodeVerd and its collaborators. Use of any of these without proper authorization is strictly prohibited.

CodeVerd may display a Client's company name and logo on the platform and within case studies, dashboards, partner listings, or marketing/promotional materials. However, this display does not imply endorsement or grant any rights to use CodeVerd's branding, unless separately agreed in writing.

Using CodeVerd's Services does not grant you ownership of any intellectual property or content you access. You agree not to use or reuse any proprietary content unless explicitly permitted.

Nondisclosure and Noncompetition

The User agrees to maintain the confidentiality of any data, methodologies, algorithms, audit results, or insights generated by or accessed through the CodeVerd platform and shall not disclose such information to any third party without prior written consent from CodeVerd.

The User further agrees not to use any research, analysis, codebase, data models, or product ideas obtained during their usage of CodeVerd for the benefit of any competitor, rival service, or similar offering.

The User agrees not to establish or contribute to a competing business that replicates or directly competes with the core functionality, features, or intellectual property of CodeVerd for a period of 3 (three) years, internationally, from the date of their last access or interaction with the CodeVerd platform.

If any violation of this clause is proven or admitted, the User shall be liable to pay liquidated damages as determined by CodeVerd, in addition to any legal or injunctive relief the Company may pursue.

Cookie Policy

We use cookies on the CodeVerd platform. Cookies are small files that a website or its service provider transfers to your device's hard drive via your web browser. These cookies enable our systems to recognize your browser, remember user preferences, and capture certain non-personal information to enhance your experience.

Entire Agreement

These Terms and Conditions constitute the entire agreement between the user and CodeVerd with respect to the use of the Platform and Services, and supersede all prior or contemporaneous understandings, agreements, representations, and warranties, both written and oral, regarding your access to and use of the Platform and Services.

These Terms are also applicable to all peripheral tools, partner platforms, integrations, third-party APIs, analytics dashboards, email/SMS services, hosting infrastructure, and any other services that CodeVerd uses or may use in the future to deliver its products, reports, communications, or user experiences.

Force Majeure

Neither party shall be held liable to the other for any failure or delay in the performance of any obligation under these Terms, if such failure or delay is due to circumstances beyond reasonable control, including but not limited to: acts of God, natural disasters, pandemic, epidemic, war, terrorism, political unrest, insurrection, riots, civil or military actions, government regulations, power outages, internet service failures, or other technical interruptions.

Any party affected by such an event shall promptly notify the other party and will use reasonable efforts to resume performance in accordance with these Terms once the event has concluded or been resolved.

Termination

CodeVerd may suspend or terminate your access to the Platform, Services, or Products at any time, with or without notice, for any reason, including but not limited to violation of these Terms. Upon termination, all rights granted to you will cease immediately. Sections related to intellectual property, indemnity, disclaimers, and limitations of liability shall survive such termination.

The obligations and liabilities of the parties incurred prior to the termination date shall survive the termination of this agreement for all purposes. These Terms of Service remain in effect unless and until terminated by either you or us. You may terminate these Terms of Service at any time by notifying us that you no longer wish to use our Services or when you discontinue use of the platform.

If, in our sole judgment, you fail—or we suspect that you have failed—to comply with any term or provision of these Terms of Service, we may terminate this agreement at any time without notice. You will remain liable for all amounts due up to and including the date of termination, and we may deny you access to our Services (or any part thereof).

CodeVerd also reserves the right to modify, suspend, or discontinue the Services (or any part thereof) at any time, with or without notice. Users agree that CodeVerd shall not be held liable to them or to any third party for any such modification, suspension, or discontinuation of the Platform, Products, or Services.

Governing Law and Dispute Resolution

These Terms and any dispute arising from or in connection with them shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law principles.

You agree that any disputes, claims, or controversies arising out of or relating to the use of CodeVerd's Platform, Products, or Services shall be subject to the exclusive jurisdiction of the competent courts located in Mumbai, Maharashtra, India.

Changes to the Terms

CodeVerd reserves the right to modify, update, or revise these Terms at any time at its sole discretion. Any changes will become effective immediately upon posting on the Platform or Site. It is your responsibility to review the Terms periodically. Your continued access or use of the Services after any such updates constitutes your acceptance of the revised Terms.
